Zerodha founder and CEO Nithin Kamath has highlighted regulatory risk as a major consideration for businesses operating in India's tightly regulated financial sector. His comments came after the Insurance Regulatory and Development Authority of India (IRDAI) proposed changes to insurance distribution and commission structures.


Kamath said regulatory changes can alter the economics of a business quickly, making them important for investors to consider when assessing financial companies. He pointed to the broking sector, where changes involving retail futures and options trading, earnings on client funds or margin trading facility requirements could affect brokerage revenues and profitability.

He also cautioned against assuming that a company's current financial performance will continue unchanged when valuing regulated businesses. According to Kamath, changes in regulations can influence both business models and market valuations.

IRDAI's latest proposals include changes to insurance commissions and expense limits, with the regulator seeking to address distribution costs and strengthen customer-focused practices. The proposals are still under consultation, with stakeholders invited to submit feedback by October 25, 2026.

The discussion highlights how regulatory decisions can have consequences beyond compliance, potentially affecting revenue structures and investor expectations across fintech, broking and insurance businesses. In regulated finance, apparently the fine print can be just as important as the balance sheet.
