Tata Sons’ board is meeting in Mumbai on September 17 as the holding company assesses the impact of the Reserve Bank of India’s rejection of its request to surrender its NBFC registration. The decision has brought the company’s potential stock-market listing back into focus while its chairman succession process remains unresolved.


Tata Sons had applied in March 2024 to exit the NBFC framework after strengthening its balance sheet and repaying more than Rs 21,000 crore in debt. Its continued classification as an upper-layer NBFC could require the company to list on stock exchanges.

The listing issue remains sensitive among shareholders. Tata Trusts, which holds about 66% of Tata Sons, has opposed a public listing, while the Shapoorji Pallonji Group, with roughly 18%, has supported the idea.

Succession is another key issue. Chairman N Chandrasekaran has told the board he does not intend to seek another term after his tenure ends on February 20, 2027. However, the selection of his successor has been complicated by a governance dispute involving the Sir Ratan Tata Trust, which has been unable to convene trustee meetings amid proceedings before the Maharashtra Charity Commissioner.

The company’s Articles of Association require three members of the five-member chairman selection committee to be jointly nominated by the Sir Dorabji Tata Trust and Sir Ratan Tata Trust. The dispute has therefore stalled the process.

The board is expected to assess the RBI decision, the listing implications and the leadership transition, although the available information does not indicate that all three issues will be resolved at the meeting.
