Tata Trusts Rift Deepens as Two Trustees Question Tata Sons Restructuring Plan
Venu Srinivasan and Vijay Singh have questioned whether Tata Trusts properly authorised a restructuring proposal for Tata Sons, intensifying an ongoing governance dispute.
The dispute within Tata Trusts has intensified after senior trustees Venu Srinivasan and Vijay Singh questioned how the Sir Dorabji Tata Trust (SDTT) backed a proposed restructuring of Tata Sons.
In a September 30 letter, the trustees said they were not consulted before a September 28 communication supporting the restructuring was sent to the Tata Sons board. They also said no SDTT trustee meeting had been held to collectively discuss or authorise the proposal.
The restructuring plan involves merging Tata Electronics Systems Solutions and Tata Consulting Engineers with Tata Sons. Tata Trusts has said the move could change Tata Sons’ regulatory status and potentially help it avoid the mandatory listing requirement linked to its classification as an upper-layer NBFC.
Srinivasan and Singh questioned whether a shareholder should direct Tata Sons on a matter that falls within the company board’s responsibilities. They argued that the Tata Sons board should independently examine the legal, regulatory, financial and commercial implications before making a decision.
The trustees also raised concerns about the potential impact on the charitable status and governance of the trusts.
The disagreement comes amid a wider dispute over Tata Trusts’ administration, with Singh having sought an inquiry into SDTT’s governance and involvement in Tata Sons’ affairs.
For now, the restructuring remains subject to consideration by the Tata Sons board and regulatory approvals, including the RBI. In other words, the corporate family meeting has officially entered the “please send minutes” era.
